Welcome! We are thrilled to have you here, and we want to make sure your experience is safe and transparent. The following Terms of Use outline the rules for using our Foundry, while the Privacy Notice details how we collect, store, use, and safeguard your personal information. By using the HOPPR™ AI Foundry, you’re agreeing to these rules, so please take a moment to read them through.
HOPPR™ AI FOUNDRY Terms of Use

1. Acceptance of Terms
The HOPPR™ AI Foundry is an AI-powered imaging foundry that enables developers to build, fine-tune, and validate AI models for tailored applications (the HOPPR™ AI Foundry). IntellixAI, Inc., d/b/a as HOPPR provides the HOPPR ™ AI Foundry and related services (collectively, the “Services”) to you subject to the terms and conditions in these Terms of Use (the “TOU”). HOPPR may, in its sole discretion, update the TOU at any time. You can access and review the most current version of the TOU here. Changes to the TOU shall become effective immediately unless otherwise indicated. Your continued use of the Services means you accept the updated TOU going forward.
You represent and acknowledge that (a) you have read, understand, and agree to these TOU by using our Services or choosing to submit Personal Data through them; (b) you have the right, power, and authority to bind to these TOU for Your Employer (defined below) and all parties to whom you provide keys to use the Services; and (c) these TOU are a valid and binding agreement with and on Your Employer and all such parties.
2. OTHER AGREEMENTS AND TERMS
2.1 You represent, warrant, and covenant that: (a) you are a licensed physician or other healthcare professional or working under the direction or supervision of such professionals in using the Services; (b) you shall access or use the Services solely on behalf of an entity that has entered into a separate agreement with HOPPR (such entity, “Your Employer” and such agreement, the “Client Agreement”); and (c) Your Employer has expressly authorized you to use the Services under the Client Agreement.
2.2 The terms and conditions of the Client Agreement apply to your activities under these TOU. The Client Agreement explains how HOPPR may collect, store, share, or otherwise use Protected Health Information (as defined by the Health Insurance Portability and Accountability Act (“HIPAA”), and your and Your Employer’s responsibilities with respect to Protected Health Information as you use the Services.
2.3 If there is a conflict between these TOU and the terms and conditions of the Client Agreement, the terms and conditions of the Client Agreement control.
2.4 In addition to these TOU and the Client Agreement, your access to and use of the Services are further subject to the HOPPR™ AI Foundry’s documentation, which includes any usage or other policies relating to the Services that we post or otherwise make available to you or Your Employer from time to time (collectively the “Documentation”)
2.5 We will use your Personal Data (as defined in our Privacy Policy) subject to the Client Agreement and our Privacy Policy.
3. REGISTRATION AND ACCOUNT
3.1 You must register for an account (an “Account’). In registering, you agree to: (a) provide true, accurate, current, and complete information as prompted during registration (the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. HOPPR may suspend or terminate your Account if it suspects that you have or if you fail to comply.
3.2 You may not share your Account or password. You are responsible for maintaining the confidentiality of your Account and password. You are fully responsible for all activities that occur under your Account, whether you authorized the particular use or not, and regardless of your knowledge of such use. Upon becoming aware of any actual or suspected unauthorized access to or use of your security credentials or Account, you shall immediately notify HOPPR.
4. PERMITTED USE; OWNERSHIP
4.1 You may access and use the HOPPR™ AI Foundry and Output resulting from your use of the HOPPR™ AI Foundry solely as permitted by the Client Agreement and these TOU. Without limitation of the foregoing, you shall not, and shall not allow any third party to:
(a) access or use any HOPPR IP or any Output,
(i) other than as expressly permitted by and in accordance with the Client Agreement and any documentation provided by HOPPR,
(ii) to develop a similar or competing product or service,
(iii) to develop, train, or fine-tune artificial intelligence models other than as expressly permitted by the Client Agreement, or
(iv) from outside the United States;
(b) reverse engineer, decompile, disassemble, or attempt to derive source code from the HOPPR IP;
(c) reproduce, modify, or create derivative works of the HOPPR IP or any Output;
(d) externally publish benchmarks or performance information about the Services or any Output without HOPPR’s prior written approval;
(e) transmit any viruses or other harmful materials to the Services;
(f) represent that Output was human-generated when it was not;
(g) automatically or programmatically extract data from the HOPPR IP or any Output; or
(h) intentionally interfere with, disrupt, or disable any security mechanisms of the Services.
“HOPPR IP” means the Services, all documentation provided by HOPPR hereunder, all Feedback (defined below), and all other Confidential Information (defined below), including all intellectual property rights in all of the foregoing. “Output” means the results generated by the HOPPR™ AI Foundry from prompts, images, data, and information uploaded by you or Your Employer to the HOPPR™ AI Foundry (“Input”).
4.2 HOPPR owns and shall retain all right, title, and interest in the HOPPR IP, including all intellectual property rights therein. HOPPR reserves all rights in the HOPPR IP not expressly granted to you in these TOU.
5. FEEDBACK
You may, but have no obligation to, provide feedback to HOPPR, including comments or suggestions regarding the possible creation, modification, correction, improvement, or enhancement of the Services, other HOPPR products, or the technology marketplace in general (“Feedback”). You hereby give HOPPR a non-exclusive, fully paid-up, royalty-free right to use the Feedback. HOPPR may use, implement, and exploit all Feedback in any manner without restriction and without obligation to you.
6. CONFIDENTIALITY
The Services and all other materials and information disclosed by HOPPR to you under these TOU and all Feedback are HOPPR’s “Confidential Information”. You will maintain the confidentiality of the Confidential Information. You will not disclose the Confidential Information to any third party without HOPPR’s prior written consent and will only use the Confidential Information internally for the purposes set forth in the Client Agreement. Upon HOPPR’s request at any time, you will return to HOPPR all Confidential Information in your possession or control, including all copies and extracts thereof.
7. REPRESENTATIONS AND WARRANTIES; DISCLAIMERS
7.1 You represent, warrant, and covenant that: (a) you have been fully informed of and shall comply with the terms and conditions of the Client Agreement, these TOU, and applicable laws, which may include United States and its territories’ medical device laws, regulations, directives, and guidance, and product safety laws; (b) you shall use the Output solely to internally evaluate the Services to determine whether Your Employer wishes to enter into a commercial agreement with HOPPR with respect to the Services; and (c) you shall not disclose or otherwise share the Output with any third party other than Your Employer.
7.2 YOU ACKNOWLEDGE AND AGREE THAT: (A) THE SERVICES DO NOT CONTAIN CLINICAL INTERPRETATION OR DIAGNOSTIC FUNCTIONALITY AND ARE NOT A MEDICAL DEVICE; (B) OUTPUT IS NOT INTENDED TO REPLACE MEDICAL JUDGMENT, ADVICE, TRAINING, OR DIAGNOSIS OR ANY PROFESSIONAL SERVICES; (C) THE SERVICES AND THE OUTPUT AND INFORMATION THEY PROVIDE ARE NOT INTENDED TO BE USED INDEPENDENTLY FOR MEDICAL USE OR IN ANY CLINICAL DIAGNOSTIC PROCEDURES, NOR DO THE SERVICES OR ANY PORTION THEREOF HAVE THE ABILITY TO DIAGNOSE, TREAT, PRESCRIBE, OR PERFORM ANY TASKS THAT CONSTITUTE THE PRACTICE OF MEDICINE; (D) THE HOPPR IP HAS NOT BEEN VALIDATED OR TESTED BY HOPPR FOR USE IN ANY CLINICAL DIAGNOSTIC PROCEDURES OR FOR ANY SPECIFIC MEDICAL USE OR INDICATION, AND ANY AND ALL SUCH VALIDATIONS OR TESTING ARE YOU AND YOUR EMPLOYER’S SOLE RESPONSIBILITY.
7.3 AS BETWEEN YOU AND HOPPR, IT IS YOUR SOLE RESPONSIBILITY TO EVALUATE WHETHER ANY USE OF THE SERVICES OR OUTPUT IS APPROPRIATE FOR YOUR OR YOUR EMPLOYER’S PURPOSES, INCLUDING DETERMINING WHERE AND WHEN HUMAN REVIEW IS APPROPRIATE OR REQUIRED, AND WHETHER SUCH USE REQUIRES ANY CLINICAL PERFORMANCE VALIDATION, REGULATORY EXEMPTION, CLEARANCE, APPROVAL, PERMIT, REGISTRATION, LISTING, NOTICE, OR OTHER AUTHORIZATION REQUIRED BY APPLICABLE LAW BEFORE YOU USE ANY OF THE FOREGOING.
7.4 ALL OUTPUT IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND. AS BETWEEN YOU AND HOPPR, YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL OUTPUT.
8. LIMITATION OF LIABILITY
AS BETWEEN YOU AND HOPPR, YOU ASSUME ALL RISK OF LIABILITY RELATED TO YOUR USE OR MISUSE OF THE SERVICES, INPUT, AND OUTPUT, INCLUDING ANY LOSS OR INJURY ARISING OUT OF, OR CAUSED IN WHOLE OR IN PART BY, YOUR, YOUR EMPLOYER’S, OR ANY THIRD PARTY’S USE OR MISUSE OF OR RELIANCE ON OUTPUT OR BY YOUR, YOUR EMPLOYER’S, OR ANY THIRD PARTY’S ACTS OR OMISSIONS IN RELATION TO THE CLIENT AGREEMENT, THESE TOU, THE SERVICES, OR OUTPUT. TO THE FULLEST EXTENT PERMITTED BY LAW, HOPPR SHALL NOT BE LIABLE TO YOU, YOUR EMPLOYER, OR ANY OTHER PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS, ERROR, OR INTERRUPTION OF USE, DATA, OR OUTPUT OR FOR LOSS OF BUSINESS, REVENUES, OR PROFITS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. TERMINATION
HOPPR may suspend or terminate your Account or your use of the Services at any time, for any reason or for no reason at all. If you violate these TOU, all rights granted to you under these TOU terminate immediately, with or without notice to you. If the Client Agreement terminates, your right to access and use the Services automatically terminates on the same date. Upon termination of these TOU for any reason, all rights granted to you in these TOU shall immediately terminate, you shall promptly return to HOPPR or destroy all copies of all Confidential Information, and Sections 4 through 10 shall survive.

Log and Usage Data. Our Service Providers. 6. HOW LONG DO WE KEEP YOUR INFORMATION?

8. DO WE COLLECT INFORMATION FROM MINORS?

We do not knowingly collect or solicit data from, or market to, children under 18 years of age, nor do we knowingly sell such personal information. By using the HOPPR™ AI Foundry, you represent that you are at least 18. If we learn that personal information from users under the age of 18 has been collected, we will deactivate the account and take reasonable steps to promptly delete such data from our records.

9. WHAT ARE YOUR PRIVACY CHOICES?

Opting out of marketing and promotional communications: You can unsubscribe from our marketing and promotional communications at any time by clicking the unsubscribe link in our emails, or contacting us using the details provided in the section "HOW CAN YOU CONTACT US ABOUT THIS NOTICE?" You will then be removed from our marketing lists. However, we may still communicate with you for non-marketing purposes, such as service-related messages, account administration, responding to support requests, and fulfilling legal obligations.
